Welcome to Etalai.

These Terms of Service (the “Terms”) govern your access to and use of www.etalai.com and all related content, features, products, tools, and services offered through the website (collectively, the “Services”). The terms “Etalai,” “we,” “us,” and “our” refer to Etalai. The terms “you” and “your” refer to any visitor, customer, or other user of the Services.

Our online store is hosted by Shopify, which provides the ecommerce platform that enables us to offer the Services to you.

Please read these Terms carefully. By visiting our website, creating an account, placing an order, or otherwise using the Services, you agree to be bound by these Terms and by the policies referenced on our website, including our Privacy Policy, Shipping Policy, Return and Refund Policy, and Payment Policy. If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility and Account Information

By using the Services, you represent that you are at least the age of majority in your state or place of residence, or that you have the consent of a parent or legal guardian where required by law.

You may be asked to provide information such as your name, email address, billing address, shipping address, telephone number, and payment information. You agree to provide information that is current, complete, and accurate and to promptly update it when necessary.

If you create an account, you are responsible for keeping your login credentials confidential and for activity conducted through your account. You must notify us promptly if you believe that your account has been accessed or used without authorization. You may not sell, transfer, assign, or license your account to another person.

2. Products and Product Information

Etalai is an online women’s fashion store. We make reasonable efforts to present product descriptions, photographs, colors, measurements, sizes, materials, prices, and availability accurately.

Actual colors and product appearance may vary slightly because of lighting, photography, screen settings, device type, manufacturing variations, and other technical factors. Sizing and fit may also vary by style. Customers should review the product description and applicable size information before ordering.

All product descriptions, prices, promotions, and availability may be updated without notice. We may discontinue a product or limit the quantities available to any person, household, geographic region, or jurisdiction. Nothing on the website constitutes a guarantee that a product will remain available.

3. Orders and Acceptance

Submitting an order is an offer to purchase the products in your cart. An automated order confirmation acknowledges that we received your order but does not necessarily mean that the order has been accepted or shipped.

We reserve the right, to the extent permitted by law, to accept, decline, limit, or cancel an order for legitimate reasons, including suspected fraud, unauthorized or declined payment, pricing or inventory errors, product unavailability, shipping restrictions, or violation of these Terms.

Payment must be successfully authorized before an order can be processed. If we decline, change, or cancel an order after payment has been authorized or collected, we will void the authorization or issue an appropriate refund to the original payment method. We will attempt to notify you using the contact information provided with the order.

Please review your products, sizes, colors, quantities, billing information, and shipping address before submitting your order. We will try to assist with a cancellation or change request, but we cannot guarantee that a request can be completed after an order enters processing or has shipped.

Products purchased from Etalai are intended for personal or household use unless we agree otherwise in writing. You may not place orders for unauthorized resale, unlawful export, fraud, or other improper commercial purposes.

4. Prices, Currency, Billing, and Payment

Unless otherwise stated, prices on our website are displayed in United States Dollars (USD). Prices, discounts, and promotions may change without notice. The price applicable to your purchase is the price displayed at checkout when your order is submitted, subject to correction of obvious errors as permitted by law.

The final amount shown at checkout may include the product price, applicable taxes, shipping charges, discounts, and other clearly disclosed charges. Etalai offers free standard shipping within the United States when this is stated on our website or at checkout.

Only payment methods displayed at checkout are available for a particular order. Available payment options may depend on your device, location, order, and payment provider. You represent that you are authorized to use the payment method submitted and that the billing information you provide is accurate.

Payments are processed securely by authorized third-party payment providers. Etalai does not directly store your complete payment card number. Your bank or payment provider may apply its own authorization procedures, currency conversion, or other terms.

5. Promotions and Discount Codes

Promotions, automatic discounts, and discount codes may be subject to separate eligibility requirements, expiration dates, product exclusions, minimum purchase amounts, usage limits, or other stated conditions.

Unless expressly stated otherwise, discounts cannot be combined. A discount has no cash value and cannot be applied retroactively to an order that has already been completed. If promotion-specific terms conflict with these Terms, the promotion-specific terms will control for that promotion.

We may modify or end a promotion as permitted by law, but this will not affect an order already accepted at a correctly displayed promotional price.

6. Shipping and Delivery

Shipping destinations, processing times, estimated transit times, available shipping methods, charges, and other delivery information are stated in our Shipping Policy and at checkout.

Order processing begins after payment has been successfully authorized. Delivery dates and transit times are estimates and are not guaranteed. Delays may occur because of carriers, weather, holidays, high order volume, service interruptions, an incorrect or incomplete address, or events outside our reasonable control.

You are responsible for providing an accurate and complete delivery address. Contact us as soon as possible if you discover an error. We cannot guarantee that an address can be changed after processing begins. Additional costs or delays caused by an incorrect or incomplete address may be the customer’s responsibility to the extent permitted by law.

When tracking indicates a delivery problem, please contact us so that we can review the available information and assist you in accordance with our Shipping Policy and applicable law.

7. Returns, Exchanges, and Refunds

Returns, exchanges, and refunds are governed by our Return and Refund Policy, which forms part of these Terms.

Eligible new and unused items may be requested for return or exchange within 30 days in accordance with that policy. Conditions, exclusions, and required steps are explained in the Return and Refund Policy.

You must contact info@etalai.com and receive return instructions before mailing any item. Do not send returns to our business contact address unless our customer support team specifically instructs you in writing to use that address. An unauthorized return may be delayed, refused, or sent back to the sender.

Unless the item is defective, damaged, incorrect, or otherwise covered by applicable law or our published policy, the customer is responsible for obtaining and paying for the return shipping label. We do not charge a restocking fee.

Once an approved return is received and inspected, we aim to process the refund within 3 business days. Approved refunds are issued to the original payment method. Your bank or payment provider may require additional time to post the funds to your account.

8. Intellectual Property

The Services and their contents—including our name, logos, branding, text, graphics, photographs, videos, page design, layout, product presentation, and other materials—are owned by or licensed to Etalai and are protected by applicable intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for lawful personal, non-commercial shopping purposes. Except as permitted by law or with our prior written consent, you may not copy, reproduce, modify, distribute, republish, publicly display, sell, license, scrape, extract, or commercially exploit any part of the Services.

Third-party names, trademarks, logos, and other intellectual property appearing through the Services belong to their respective owners. No license or right to use any Etalai, Shopify, or third-party intellectual property is granted except as expressly stated in these Terms.

9. Reviews, Feedback, and Other Submissions

If you submit a review, photograph, comment, suggestion, idea, or other content (“User Content”), you represent that you own or have permission to submit it and that it is accurate, lawful, and does not violate any third party’s rights.

You must not submit User Content that is false, misleading, defamatory, abusive, obscene, discriminatory, infringing, fraudulent, unlawfully promotional, or harmful, or that contains malware or malicious code. You may not impersonate another person or conceal the origin of your submission.

To the extent permitted by law, you grant Etalai a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, translate, distribute, and display User Content for operating, improving, and promoting the Services. This license does not transfer ownership of your User Content to Etalai.

We may monitor, edit, decline, or remove User Content that violates these Terms or applicable law, but we are not obligated to do so.

10. Optional Tools and Third-Party Services

The Services may provide access to tools, applications, payment services, tracking services, social media features, or other functionality operated by third parties. We do not control every third-party service and provide access to it on an “as available” basis.

Your use of a third-party service may be governed by that provider’s own terms and privacy policy. You should review those terms before using the service. To the fullest extent permitted by law, Etalai is not responsible for third-party services or for loss caused solely by a third party outside our reasonable control.

11. Third-Party Links

Our website may contain links to websites or resources operated by third parties. A link does not necessarily mean that Etalai endorses or controls the third party.

If you choose to access a third-party website, you do so subject to that website’s terms and policies. Etalai is not responsible for the content, security, availability, products, services, or privacy practices of third-party websites. Questions about a third-party product or service should be directed to the relevant provider.

12. Relationship with Shopify

Etalai’s store is powered by Shopify. However, purchases made through our store are transactions directly between you and Etalai. Shopify is not the seller of Etalai products and is not responsible for fulfilling Etalai orders, approving Etalai returns, or providing Etalai customer support.

To the fullest extent permitted by applicable law, you acknowledge that claims concerning products purchased from Etalai should be directed to Etalai rather than Shopify. Nothing in this section limits any non-waivable rights you may have under applicable law.

13. Privacy

Our collection, use, disclosure, and protection of personal information are described in our Privacy Policy.

Because Shopify hosts the Services, Shopify and other service providers may process personal information to operate and improve the store, complete transactions, prevent fraud, provide customer support, and perform other functions described in the applicable privacy notices.

By using the Services, you acknowledge that you have reviewed our Privacy Policy. Nothing in these Terms reduces any privacy right that cannot lawfully be waived.

14. Errors, Inaccuracies, and Omissions

Occasionally, information on the Services may contain typographical errors, inaccuracies, or omissions relating to descriptions, prices, promotions, offers, availability, shipping charges, or delivery estimates.

We may correct inaccurate information and update the Services. If a material pricing or product error affects an order, we may contact you to confirm the corrected information or cancel and refund the affected order, as permitted by law.

15. Prohibited Uses

You may use the Services only for lawful purposes. You must not use the Services:

• to violate any applicable international, federal, state, provincial, or local law or regulation;

• to infringe our rights or the rights of another person;

• to harass, abuse, threaten, defame, discriminate against, or harm another person;

We may restrict or terminate access when we reasonably believe these Terms have been violated.

16. Termination

You may stop using the Services at any time. We may suspend or terminate access to all or part of the Services if you violate these Terms, misuse the Services, create legal or security risk, or engage in fraudulent or unlawful activity.

Termination does not remove obligations or liabilities that arose before termination. Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions—will remain effective.

17. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis. We do not guarantee that the Services will always be uninterrupted, timely, secure, or error-free, or that every error will be corrected immediately.

We make no warranty beyond warranties expressly stated in writing or required by law. Product-specific warranties, if any, will be stated in the product description or other applicable written terms.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, the exclusions in this section apply only to the extent permitted by law and do not affect rights that cannot be waived.

18. Limitation of Liability

To the fullest extent permitted by applicable law, Etalai and its owners, employees, affiliates, agents, contractors, service providers, licensors, and suppliers will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, lost data, or replacement costs, arising from your use of or inability to use the Services.

Where liability cannot be excluded, our total liability for a claim relating to a purchase will not exceed the amount you paid to Etalai for the product or order giving rise to that claim, unless applicable law requires a different remedy or amount.

These limitations do not apply to liability that cannot legally be limited or excluded, including liability arising from fraud, willful misconduct, or other non-waivable obligations.

19. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Etalai and its affiliates, employees, agents, contractors, licensors, service providers, and suppliers from third-party claims, liabilities, damages, and reasonable expenses arising from your unlawful use of the Services, your material breach of these Terms, or your infringement of another person’s rights.

This section does not require you to indemnify any party for that party’s own unlawful conduct, negligence, or willful misconduct where such indemnification is prohibited by law.

20. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

21. Waiver and Entire Agreement

Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.

These Terms and the policies posted on our website constitute the entire agreement between you and Etalai regarding your use of the Services and supersede prior or contemporaneous communications concerning the same subject matter.

22. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations as part of a merger, acquisition, reorganization, sale of assets, change in control, or other lawful business transaction, subject to applicable law.

23. Governing Law and Disputes

These Terms and any separate agreement through which we provide Services are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where the mandatory consumer laws of your place of residence apply.

Subject to any non-waivable rights or jurisdictional requirements under applicable law, disputes arising from these Terms or the Services will be brought in the state or federal courts with jurisdiction in Dallas County, Texas, and the parties consent to the jurisdiction of those courts.

24. Changes to These Terms

You can review the current version of these Terms on this page at any time. We may update these Terms to reflect changes to our Services, business practices, legal obligations, or policies.

The “Last Updated” date at the top of this page shows when these Terms were most recently revised. Material changes will be communicated when required by applicable law. Changes apply prospectively from their effective date and do not reduce rights relating to an order placed before that date where prohibited by law.

Your continued use of the Services after updated Terms take effect constitutes acceptance of the updated Terms.
